Acceptance of the Terms of Use
These Terms of Use (“Terms”) are a binding agreement between Action Driven Education, LLC (“Company,” “we,” “us,” or “our”) and the customer (“you” or “your”). These Terms govern your access to and use of our websites and services, including www.accomods.com, our custom Barrier Moving Mindset GPT, and any related or successor sites, subdomains, mobile applications, and online services we operate (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms and our Privacy Policy (incorporated by reference). If you do not agree, do not access or use the Service. The Service is offered only to individuals 18 years or older who can form a legally binding contract.
License & Access
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (or, if you are an educator or school representative, for internal educational purposes). We reserve all rights not expressly granted.
Changes to These Terms
We may modify these Terms from time to time. Changes are effective when posted unless the changes are material, in which case we will provide reasonable advance notice (for example, by email or through the Service). If you do not agree to the updated Terms, you must stop using the Service before the changes take effect. Your continued use after the effective date constitutes acceptance.
Accessing the Service and Account Security
We reserve the right to withdraw or amend the Service, and any content or features, in our sole discretion without notice. We are not liable if any part of the Service is unavailable for any reason at any time.
You are responsible for:

Use a strong, unique password and enable multi-factor authentication if available. Notify us immediately of any suspected unauthorized use or security incident. We may disable or suspend any account for any reason, including suspected violation of these Terms.
Intellectual Property Rights
The Service and all related content, features, and functionality (including all information, software, text, images, video, and design) are owned by the Company or its licensors and are protected by intellectual property laws.
You may use the Service only for your permitted personal or internal educational purposes. You must not:

No rights are transferred to you beyond this limited license.
Trademarks
The Company name, logo, and related marks are trademarks of the Company or its affiliates. You may not use them without our prior written permission. Other names or logos appearing on the Service are the trademarks of their respective owners.
Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You must not:

Upload, share, or process content that infringes another’s rights;

Exploit or harm minors in any way;

Transmit spam or unauthorized solicitations;

Introduce viruses, malicious code, or interfere with proper operation of the Service.
No Student or Child Personally Identifiable Information
You must not upload, post, or otherwise provide to the Service any personally identifiable information (PII) about a student or minor (including names, contact details, student IDs, or educational records) unless you have obtained all necessary consents and have ensured compliance with applicable privacy laws, including the Family Educational Rights and Privacy Act (FERPA) and the Children’s Online Privacy Protection Act (COPPA).
You are solely responsible for ensuring that any information you input into the Service does not include student data unless explicitly authorized in writing by the Company through a separate data protection agreement. The Company does not knowingly collect or store information about children under 13.
User Contributions
If you post, upload, or otherwise provide content (“User Content”), you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable (to our service providers) license to host, store, reproduce, modify (for formatting/display), publicly perform and display, and distribute your User Content solely to operate and provide the Service.
We will not use User Content containing student PII for marketing or publicity without your written consent.
You represent and warrant that:

You own or have rights to the User Content; and

Your User Content complies with all applicable laws and these Terms.
We may remove or refuse any User Content at our discretion.
Content Standards
User Content must not:

Contain defamatory, obscene, offensive, or otherwise objectionable material;

Promote violence, discrimination, or illegal activity;

Infringe others’ intellectual property rights;

Violate privacy or publicity rights; or
-
Mislead others about its source or endorsement.
Copyright Infringement (DMCA)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice under 17 U.S.C. §512(c)(3) to our DMCA Agent including:

Your signature (physical or electronic);

Identification of the copyrighted work;

Identification of the infringing material and its location;

Your contact information;
-
A good-faith statement that the use is not authorized; and

We are based in Pennsylvania, USA, and make no representation that the Service is appropriate outside the United States. If you access it from elsewhere, you do so at your own risk.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.
Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or injury to the person.
Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your use of the Service.
Dispute Resolution; Arbitration; Class-Action Waiver
Before filing a claim, you agree to email admin@actiondriveneducation.com and attempt to resolve the issue within 30 days.
If unresolved, any dispute will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration will be Pennsylvania, and Pennsylvania law governs. Either party may bring an individual claim in small-claims court.
Class-Action Waiver: You and we agree to bring claims only in an individual capacity, not as part of a class or representative action.
30-Day Opt-Out: You may opt out of arbitration by emailing us within 30 days of first accepting these Terms.
Governing Law and Jurisdiction
These Terms and any disputes related to them are governed by Pennsylvania law, without regard to conflict-of-laws rules. Legal actions not subject to arbitration will be brought exclusively in the state or federal courts located in Pennsylvania.
Feedback
If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or obligation.
Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, strikes, or internet outages.
Notices
We may provide notices through the Service, email, or your registered contact details. You consent to receive communications electronically.
Waiver and Severability
Failure to enforce any term does not waive it. If any term is found unenforceable, the remainder remains in effect.
Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Action Driven Education, LLC regarding the Service and supersede all prior agreements or representations.
